These Terms of Service ("Terms") govern your access to and use of Cladra, a browser-based cladding cut-optimisation application ("Cladra", the "Service"), operated by [LEGAL ENTITY NAME] ("we", "us", "our"), [COMPANY NUMBER / ADDRESS, NZ]. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1.The Service

Cladra helps you plan how to cut cladding panels from standard sheets, including importing panels, measuring from drawings, optimising cutting layouts, and exporting cut plans. We may add, change, or remove features over time.

2.Accounts

You must provide accurate information when creating an account and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old, or the age of majority where you live, and have authority to enter these Terms (including on behalf of an employer or organisation if you sign up for one).

You retain ownership of the project data, drawings, panel lists, and other content you put into Cladra ("Your Content"). You grant us a limited licence to host, process, and display Your Content solely to operate and improve the Service. You are responsible for having the right to use any drawings or files you upload. How we handle personal information is described in our Privacy Policy.

5.Acceptable use

You agree not to: misuse, disrupt, or attempt to gain unauthorised access to the Service; reverse engineer or copy it except as permitted by law; resell or sublicense it without our permission; or use it to break any law or infringe anyone's rights.

6.Optimisation results — no guarantee

Cladra produces cutting layouts and estimates (including efficiency, sheet counts, waste, and any costs) as planning aids. They depend on the data you enter and real-world factors we don't control. You are responsible for checking all measurements, quantities, and cut plans before ordering material or cutting. We do not warrant that results are error-free or fit for a particular job, and we are not liable for material ordered or cut based on the Service's output.

7.Availability

We aim to keep the Service available but do not guarantee uninterrupted access. We may suspend the Service for maintenance, updates, or reasons outside our control.

8.Intellectual property

Cladra, including its software, design, and branding, is owned by us or our licensors. These Terms do not transfer any of our intellectual property to you beyond the right to use the Service under your subscription.

9.Consumer rights

If you use Cladra as a consumer, you may have rights under the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986 that cannot be excluded. Nothing in these Terms limits those rights. Where you acquire Cladra for business purposes, you agree those Acts do not apply to the extent the law allows.

10.Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, or loss of data. Our total liability arising from the Service is limited to the amount you paid us for the Service in the [12] months before the claim.

11.Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms or if we stop offering the Service. On termination you may lose access to Your Content, so export anything you need first.

12.Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll give reasonable notice (for example, by email or in the app). Continuing to use the Service after changes take effect means you accept the updated Terms.

13.Governing law

These Terms are governed by the laws of New Zealand, and the New Zealand courts have non-exclusive jurisdiction over any dispute.
